Terms of Service

These Terms of Service (“Terms”) govern your access to and use of websites, programs, courses, coaching, and other services provided by Bodimatrix LLC (“Bodimatrix Wellness,” “we,” “us,” or “our”). By accessing or using our services, you agree to these Terms of Service.

1) Services

We offer corporate and individual wellness programs, including micro-courses, challenges, group Q&A sessions, virtual sessions, and related resources, all delivered online via our platforms (e.g., MyPTHub, Vimeo) and scheduling/payment tools (e.g., Calendly, Stripe).

2) Accounts

You must provide accurate account information and maintain the confidentiality of your login credentials. You are responsible for activities that occur under your account.

3) Orders, Pricing & Payment

• Pricing for programs is listed at checkout, on the invoice, or on the order forms.
• Unless otherwise stated in writing, payments are due in advance. For business customers with an executed order form, invoices are due 30 days net from the signature date. Access may be paused for late payment.
• We use third‑party processors (e.g., Stripe) to process payments. You authorize charges to the payment method you provide.

4) Subscriptions, Terms, & Cancellation

• Program terms are typically 3, 6, or 12 months in length. If auto‑renewal is specified, it will renew for the same term unless either party gives written notice at least 15 days before the end of the then‑current term.
• You may cancel future renewals at any time, as per the instructions in your order or by contacting support. Cancellation does not retroactively refund prior charges, unless stated below.

5) Refunds

• Digital products and programs are generally non‑refundable once accessed or delivered.
• For first‑time business pilots, if specified in the order, you may be eligible for a limited refund window. Any such policy will be stated on the order form and controls over this section.

6) Acceptable Use

• Please do not misuse the services, interfere with their regular operation, or attempt to access them in an unauthorized manner.
• Do not upload unlawful, infringing, or harmful content.
• Sharing logins outside your organization or exceeding authorized seat counts is prohibited.

7) Health & Safety Notice

Bodimatrix Wellness offers educational wellness content and coaching services. We do not provide medical care, and our services are not a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified healthcare provider before beginning any new exercise or nutrition program. Stop any activity that causes pain or discomfort and seek medical advice as needed.

8) Intellectual Property

We and our licensors own all rights in the content, materials, trademarks, and technology made available through the services. Subject to these Terms and your payment of applicable fees, we grant you a limited, non‑exclusive, non‑transferable license to access and use the services for your internal personal or business use during the appropriate term. You may not copy, distribute, modify, or create derivative works from the content except as expressly permitted in writing.

9) User Content

You retain ownership of content you submit. You grant us a non-exclusive, worldwide license to host, process, and display your content solely for the purpose of providing and improving our services.

10) Third‑Party Services

Our services integrate with third‑party platforms (e.g., MyPTHub, Vimeo, Calendly, Stripe). Your use of those services may be subject to their own terms and policies. We are not responsible for third‑party services.

11) Privacy

Your use of the services is subject to our Privacy Policy, which explains how we collect and use personal information.

12) Warranties & Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. We do not warrant that the services will be uninterrupted or error‑free, or that results will meet your expectations.

13) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Bodimatrix LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14) Indemnification

You agree to indemnify and hold Bodimatrix LLC harmless from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the services or violation of these Terms.

15) Suspension & Termination

We may suspend or terminate access if you violate these Terms, fail to pay fees when due, or as required by law. Upon termination, your right to use the services will cease, but sections that by their nature should survive will survive (e.g., IP, disclaimers, limitations of liability, and dispute resolution).

16) Governing Law & Disputes

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law rules. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in Cook County, Illinois, except that either party may seek injunctive relief in any court of competent jurisdiction.

17) Changes

We reserve the right to update these Terms from time to time. If changes are material, we will provide reasonable notice (e.g., via email, in-app, or on-site notice). Your continued use after the effective date constitutes acceptance of the updated Terms of Service.
